Pearce is said to be keen on the position, although senior figures at City are concerned about whether Pearce can juggle club and international demands.
The last time the 44-year-old was linked with an England job, as a potential successor to Sven-Goran Eriksson a year ago, City's form dipped and with the club currently 13th in the table, City are worried about being dragged in to relegation battle.
The FA wants Pearce to be in charge for the friendly against Spain at Pride Park, Derby, on February 6, with several more friendlies are likely to be added before the opening match of the eight-team Euro U-21 championships against the Czech Republic on June 11.
If Pearce is formally offered the job, he is likely to name City assistant manager Steve Wigley as his coach.
