Internazionale and Tottenham had been linked with the 23-year-old but the southern Italian side emerged as surprise victors in the race for the hit-man.
"Agreement between Napoli and Palermo was found," Palermo president Maurizio Zamparini told Radio Kiss Kiss.
"Now they are negotiating the details with the player's agent.
"Cavani is in Uruguay and the officials of Napoli will go there to sign contracts."
Palermo finished fifth in Serie A last season, one place above Napoli.
Zamparini explained that the club did not wish to sell the player but that "unpleasant incidents" forced them to act.
"With the arrival of Cavani, Napoli will aim high. I'm sorry to strengthen a direct competitor, but Cavani absolutely didn't want to stay in Palermo," Zamparini added.
“Unfortunately there were a couple of unpleasant incidents, and we promised to sell him."
